Abstract

Pertanyaan dasar dalam tulisan ini adalah “bagaimana mewujudkan kewenangan Direksi dalam batasan doktrin duty of care dan business judgement rule dalam Hukum Perseroan Terbatas di Indonesia?” Metode penelitian yang dipakai adalah penelitian normatif dengan menggunakan pendekatan doktrinal dan pendekatan perundang-undangan. Kesimpulan dari tulisan ini, yakni, doktrin duty of care merupakan dasar berlakunya doktrin business judgment rule. Direksi mendapat perlindungan hukum berdasarkan teori business judgment rule apabila duty of care terpenuhi. Penulis menyarankan agar undang-undang perseroan terbatas perlu membuat ketentuan secara tegas tentang standar kehati-hatian (duty of care) dan standar adanya itikad baik (duty of loyalty) dalam mengurus perseroan.

Abstract

Abstract: The establishment of educational tourism in mangrove areas is expected to prevent and overcome the impact of tourist activities on nature and culture. This community service activity was carried out in the Tanjung Batu Mangrove area, Sekotong Village with the aim of designing an educational tourism concept to maximize the use of mangroves as a new tourist attraction in the Central Sekotong area. The selection of mangrove locations was carried out by purposive sampling, and the methods applied to this service were observation, socialization, discussion and direct area arrangement. The results of observations showed the potential flora in Tanjung Batu, namely Rhizophora mucronata, Rhizophora stylosa and Avicennia lanata. Meanwhile, the birds types found in this area are terns, swallows, black eagles, sparrows, king prawns and Asian plover. The potential of flora and fauna is then described in the Flora-Fauna interpretation board and a short documentary related to the area which was prepared jointly by the manager and the community service team. Recommendations for the types of educational tourism activities that can be offered for the Tanjung Batu Mangrove area, namely bird watching, mangrove planting, canoeing, and making mangrove films. Abstract

Convention on International Trade in Endangered Species of Wild Fauna and Flora (CITES), 1973, menetapkan Penyu sebagai satwa dalam kategori Appendix I, yang bermakna bahwa Penyu merupakan salah satu satwa yang terancam punah dan harus dilindungi. Persoalannya adalah komersialisasi penyu di Indonesia masih marak terjadi. Artikel ini hendak menjawab pertanyaan; apa dasar hukum perlindungan penyu di Indonesia. Penelitian ini bertujuan untuk mendeskripsikan dasar hukum perlindungan Penyu di Indonesia sebagai landasan yuridis upaya-upaya perlindungan penyu. Metode penelitian yang digunakan yakni metode penelitian normatif dengan pendekatan perundang-undangan (statute approach).Hasil penelitian menunjukkan bahwa Bangsa Indonesia ikut menandatangani CITES (1973) dan telah diratifikasi melalui Keputusan Presiden Nomor 43 Tahun 1978. Perlindungan terhadap penyu, selanjutnya diatur dalam UU No. 5 Tahun 1990 tentang Konservasi Sumber Daya Hayati dan Ekosistemnya dengan peraturan pelaksananya yakni Peraturan Pemerintah Nomor 7 Tahun 1999. Selain itu, penyu juga dilindungi oleh UU No. 31 Tahun 2004 sebagaimana telah diubah dengan Undang-Undang Nomor 45 Tahun 2009 tentang Perikanan.

Abstract

Abstract : In 2017, the government designated Kuranji Beach West Lombok as the Sea Turtle Corridor Essential Ecosystem Area (KEE Kuranji).  This is intended to protect the existence of sea turtles in the area. However, the practice of catching and trading sea turtles and or parts of the sea turtles and turtle eggs is still rampant by the people around the area. Based on this, it is necessary to conduct a study with the aim of evaluating the efforts to protect turtles in the KEE of the sea Turtle Corridor, Kuranji Village, West Lombok. This study describes descriptively on the protection of turtles in terms of preemptive, preventive and repressive efforts. This research was conducted from July to August 2019 with data collection using purposive sampling technique. The results showed that the effectiveness of turtle protection in the Kuranji Village area was still low, both at the preemptive stage to raise public awareness, supervision was still minimal (preventive), and there were no efforts to take action against violators (repressive). Based on the search result, there is no data on prosecution for violations of turtle use in the 2017-2019 period, while the results of field observations and interviews with the community show that during this period the practice of selling turtle eggs was rampant.

Abstract

Commission for Business Competition Supervision (Komisi Pengawas Persaingan Usaha or KPPU) is an institution established to deal with issues related to business competition and monopoly practices. This article wants to describe the approaches to be taken by KPPU in dealing with the business competition cases. This research employed a normative research method with conceptual and case approaches. The result of research showed that there are two approaches to dealing with business competition case: rule of reason and per sel illegal. These two approaches can be selected alternatively, but they can also be used concomitantly. Rule of reason approach trials the substance of business action and its effect on community economy, while the per se illegal approach uses juridical positivistic approach. Keywords: Business Competition, Per se Illegal,  Rule of Reason

Abstract

The Indonesian Parliaments has included a law draft concerning about customary law community in the National Legislation Program Priority of 2020 – 2024, while the provisions on customary law communities have been regulated in several laws.  The questions that is examined in this article are  how are the regulations regarding customary law communities in the laws and regulations and what is the evaluation of these laws and regulations? This study uses a a statutory approach.  The results show that the provisions regarding customary law community are sporadically regulated in Law no. 5 of 1960, Law no. 39 of 1999, Law no. 41 of 1999, Law no. 7 of 2004, Law no. 18 of 2004, Law no. 27 of 2007, and Law no. 2 of 2009. Several evaluation points are (1) the recognition of customary law communities whose conditionality causes the recognition of customary law communities only at the level of discourse; (2) the use of the term is inconsistent; (3) the implementing regulations of Article 18 B paragraph (2) of the 1945 Constitution have not been/not formed; (4) recognition of customary law communities should include recognition of indigenous peoples' original beliefs.

Abstract

The main question that explained in this research is, “how is the implementation of the authority of the Board of Directors in the frame of the doctrine “duty of care” and “business judgment rule”? The research method used in this writing is normative research method with two approaches: doctrinal and legislation. The conclusion that the researcher found from the research in this writing is the “duty of care” doctrine is the basic concept to implement the doctrine “business judgment rule”. The board of director can get the legal protection based on the theory “business judgment rule” if the doctrine duty of care is fulfilled. The researcher suggests that the legislation of Limited Liability Company (Ltd.) need to make the clear and assertive provision about the standard of circumspection and the standard of good intention from the Board of Director in managing the company.

Abstract

UU No. 12 Tahun 2012 menetapkan ilmu hukum dalam rumpun ilmu terapan. Tujuan dari penelitian ini yakni (1) merefkesikan kembali hakikat keilmuan ilmu hukum, dan (2) mereposisi ilmu hukum dalam rumpun ilmu. Metode penelitian yang dipakai adalah penelitian normatif dengan pendekatan konseptual (conceptual approach). Hasil penelitian menunjukkan bahwa (1) ilmu hukum memiliki kekhasan; objek materialnya norma, cara pandang terhadap objek material yakni normatif, dan bentuk pernyataan ilmiahnya preskriptif. Selain itu ilmu hukum memiliki aspek teoritis dan aspek praktis. Atas dasar itu, (2) ilmu hukum dikategorikan sebagai ilmu dalam rumpun tersendiri (satu rumpun dengan etika) karena memiliki objek material khas. Law No. 12 of 2012 stipulates legal science in the applied sciences. The aims of this research are (1) to re-reflect the nature of legal science, and (2) to reposition legal science within the scientific clump. The research method used is normative research with a conceptual approach. The results of the study show that (1) the legal science has its own characteristics; the material object is the norm, the perspective on the material object is normative, and the form of scientific statement is prescriptive. In addition, the legal science has a theoretical aspect and a practical aspect. On that basis, (2) legal science is categorized as a science in a separate family (one family with ethics) because it has a distinctive material object.

Abstract

Masalah yang dikaji dalam penelitian ini yakni bagaimana dasar penetapan upah minimum sebelum PP No. 78 Tahun 2015 tentang Pengupahan; upah minimum berdasarkan PP No. 78 Tahun 2015 tentang Pengupahan; dan berdasarkan PP No. 36 Tahun 2021 tentang Pengupahan? Tujuannya yakni membuat komparasi antara ketiga periode tersebut dan menganalisisnya menggunakan teori keadilan John Rawls. Metode yang digunakan yakni metode normatif dengan pendekatan perundang-undangan dan pendekatan konseptual. Hasil penelitian menunjukkan bahwa upah minumum sebelum PP No. 78 tahun 2015, ditentukan berdasarkan survei Standar Hidup Layak (SHL); PP No. 78 tahun 2015 menetapkan upah minimum berdasarkan inflasi dan pertumbuhan ekonomi; dan PP No. 36 tahun 2021 menetapkan upah minimum berdasarkan kondisi ekonomi dan ketenagakerjaan. Upah minimum berdasarkan PP No. 78 Tahun 2015 dan PP No. 36 Tahun 2021 mengindikasikan (1) absennya keperpihakan Negara/Pemerintah terhadap kaum lemah dan (2) kurang mempertimbangkan karakter ekonomi setiap daerah. John Rawls, prinsip pembedaan perlu diterapkan untuk memperbaiki kondisi mereka yang kurang beruntung dalam masyarakat.

Abstract

Putusan MK No. 35 Tahun 2012 perihal hutan adat merupakan awal pengakuan hak Masyarakat Hukum Adat (MHA) atas hutan adat. Pengakuan hak tersebut menjadi dasar penetapan Hutan Adat sebagai salah satu skema dalam Program Perhutanan Sosial Kementerian LHK. Tujuan penelitian ini yakni mendeskripsikan pengaturan hukum tentang Masyarakat Hukum Adat (MHA) dalam program Perhutanan Sosial. Metode penelitian yang digunakan yakni metode normatif dengan pendekatan perundang-undangan. Hasil penelitian menunjukan peran masyarakat adat dalam Program Perhutanan Sosial diatur dalam Permen LHK No. 83 Tahun 2016 tentang Perhutanan Sosial; PP No. 23 Tahun 2021 tentang Penyelenggaraan Kehutanan dan Permen. LHK No. 9 Tahun 2021 tentang Pengelolahan Perhutanan Sosial. Masyarakat Hukum Adat (MHA) adalah salah subyek hukum pengelolaan perhutanan sosial dengan skema Hutan Adat. Kriteria penetapan status Hutan Adat dan hak MHA setelah ditetapkan sebagai subyek pengelolaan Hutan Adat diatur secara spesifik dalam Permen LHK No. 9 Tahun 2021 tentang Pengelolahan Perhutanan Sosial
