Abstract

This research is intended to understand the implementation of the business judgement rule doctrine (“BJR”) in the corporate law of Australia, Netherlands and within the Act No. 40 Year 2007 concerning Limited Liability Company, and the importance of BJR to directors and the company that they manage. This research is a normative juridical study conducted through library research and analyzed by qualitative research methods on secondary data and by comparing the implementation of BJR doctrine in Australia and Netherlands. The result of the study shows that BJR gives a legal protection to company’s directors and officers from liability on every policy or business judgement or transaction that is harmful to the company, as long as the policy or business judgement or transaction is done in good faith, due care, and within the scope of their duty and authority. The BJR doctrine also gives an advantage as a rule of consideration and action for company’s directors and officers, therefore they will have more courage to take business decisions which has a strategic value and profitable to the company that they manage. Key words: business judgement rule, duty of good faith, duty of care.  ABSTRAK Penelitian ini ditujukan untuk memahami penerapan doktrin business judgement rule (“BJR”) dalam hukum perseroan di Australia, Belanda dan di dalam Undang-Undang No. 40 Tahun 2007 tentang Perseroan Terbatas, serta arti pentingnya BJR bagi direksi maupun perusahaan yang dikelolanya. Penelitian ini merupakan penelitian yuridis normatif yang dilakukan melalui penelitian kepustakaan dan dianalisa dengan metode penelitian kualitatif atas data sekunder yang ditemukan, serta dengan membandingkan penerapan doktrin BJR di Australia dan Belanda. Hasil penelitian menunjukkan bahwa BJR memberikan perlindungan hukum bagi direksi dan pejabat perseroan dari pertanggungjawaban atas setiap kebijakan atau keputusan bisnis atau transaksi yang mengakibatkan kerugian bagi perseroan, selama kebijakan atau keputusan bisnis atau transaksi tersebut dilakukan dengan itikad baik, penuh kehati-hatian, serta dalam lingkup tanggung jawab dan wewenangnya. Doktrin BJR juga bermanfaat sebagai kaidah berpikir dan bertindak bagi direksi dan pejabat perseroan, sehingga mereka lebih berani dalam mengambil keputusan bisnis yang bernilai strategis dan menguntungkan bagi perseroan yang dikelolanya. Kata kunci: business judgement rule, kewajiban itikad baik, kewajiban kehati-hatian

Abstract

This research was conducted to compare SWOT and SPACE analysis in setting business strategy and formulate an appropriate functional strategy for corporations based on the internal and external environment of the company. The necessary data in this study were obtained through the dissemination of questionnaires, in-depth interviews, and observations directly to the company then analyzed using the case study method. The results in this study indicate that the alternative strategy of SWOT analysis is better to apply for the company than the analysis of SPACE. Then using QSPM matrix that retrieved the most appropriate business strategies for companies based on their environment is an extension of the market both in the geographic or demographic.Key words : Business strategy, SWOT and SPACE analysis, Outsourcing companies

Abstract

ABSTRACT This reseach amied at knowing the influence of audit quality, propotion of independent commissioner, audit committe, firm size, managerial ownership and leverage. It used purposive sampling technique or choosing samples based on certain criteria. The sample of this research was 25 companies of banking industry in indonesia stock exchange period 2008-2012. Descriptive analysis, classical test, as well as multiple linear regression by examining the hypothesis using SPSS 20.0 were used to analyzed the data. The result shows that (1) all independent variables simultaneously hasinfluence on earnings management; (2) however partially audit committee, audit quality, managerial ownership and leverage do not affect significantly to earnings management; (3) only firm size and independent commissioner that affect significantly to earning management. Teknik analisis yang digunakan adalah multiregresi. Abstract

Statistically, the number of women who works outside household is getting increase. As a part of worfforce, woman not only takes a position as general employee but they are also employed as a manager. It indicates that woman plays an important role in organization. In other words it can be said that the globol labor force has changed. Change in labor force involved an aging worfforce and a diverse worffirce. Furthermore diversity exists within labor force. As a result organizations cannot afford to ignore or discount the potential contributions of wornen. At the same time work opportunity for women is also more available. Women, howqer find dfficulties that hinder them in pursuing a success in career. This hindrances result fro* the social and culture concept that the nature of a woman is a houssvyife. In fact women who hold a dual career hme a more responsibility either to their emplolters or to their household. Being a dual career people, women show a high work motivation and good performance. This paper examines the affecting factorson wornen coreer in term of sex discrimination that is discrimination on grounds of gender. Abstract

The coffee shop industry in Yogtakarta is growing rapidly. Somelocatiotu arotmd the campuses become the strategic locations for the coffee shops. These shops are altractive alternatives for the people especially the stadents for discttssions or social interactions. They offer variuts serttice alternatives in accordancewith their segments. on cmerage, the industry offersaffardable prices for all Hnds of ctstomers especially students with qcellent senices. The competition among the shops is diverse to attract costumers in forns of the menus, drinb, hotspotfacility, live music, etc.Nearly every night especially on Scurdays or &ring holidays, thecoffee shops become the main destinations of people. The phenomenon is interesting to study especially the attitudes of the castomers of the coffee shops in Yogtalrarta. With the reason, this research attempts to see the influmce ofemotional branding and brand identity on the loyalty of the anstomers of the coffee shops in Yogtakarta.To lotow the inJluence, there were 200 questionnatres distributed to the people who have visited od shopped in the coffee shops in Yogtalarta &tring six montlzs since this research began. The analysis instrwnent to arutwer the lrypothesis is Strtrctural Equation Model (SEM).  The analysis indicates o significant influence on the relational vwiable on the brand as person, the fue serutes uperierce variable toward the brand as prgfluct, the imagery variable toward the brands as pro&tct, thebrand as person, and the Walty, as well as the brond as person variable toward loyalty. Abstract

The purpose of this study is to examine weather corporate governance impact on bond yield and rating. This study analyses sample 27 of bonds made of Indonesian Stock Exchangelisted finance firms over the period 2004-2008. Data is analysed by using multivariate logistic regression dan multivariate regression. Multivariate logistic regres-sion is used to analyse the effect of corporate governance impact on bond rating. Meanwhile, multivariateregres-sion is used to analyse the effect of corporate governance impact on bond yield. The analyses show two main findings. First, Independent board have negative impact on bond rating. How-ever, the coefficient of the variable result is not consistent with the prediction.  Second, institutional ownership have negative impact on bond yield.Keywords: Corporate Governance, Bond Rating, Bond Yield

Abstract

ABSTRAK Penelitian ini bertujuan untuk mengetahui pengaruh kualitas produk, persepsi harga, dan kualitas pelayanan terhadap kepuasan konsumen pada Toko Tekstil Mac Mohan, Solo. Populasi dalam penelitian ini adalah penduduk Kota Solo. Teknik penyampelan menggunakan non-probability sampling dengan pemilihan 100 responden yang pernah membeli produk di Mac Mohan Solo. Teknik pengumpulan data dilakukan dengan menyebarkan kuesioner yang telah diuji validitas dan reliabilitasnya. Metode analisis regresi linier berganda digunakan dengan uji R2, uji F, dan uji t. Hasil pengujian menghasilkan nilai sig uji F sebesar = 0,00, artinya secara simultan variabel kualitas produk, persepsi harga, dan kualitas pelayanan berpengaruh signifikan terhadap kepuasan konsumen. Hasil uji t menunjukkan bahwa kualitas produk, persepsi harga, dan kualitas layanan secara parsial berpengaruh signifikan terhadap kepuasan pelanggan. Kata Kunci: kualitas produk, persepsi harga, kualitas layanan, kepuasan pelanggan ABSTRACTThis study aims to determine the effect of product quality, price perception, and service quality toward customer satisfaction at Toko Tekstil Mac Mohan, Solo. The population in this study are the residents of Solo. Non-probability sampling method is adopted with a selection of 100 respondents who have bought products at Mac Mohan Solo. Data collection techniques were carried out by distributing questionnaires that had been tested for validity and reliability. The multiple linear regression analysis method is used with R2 test, F test, and t test. The test results produce a sig value of F test of = 0.00, meaning that simultaneously, the variable product quality, price perception, and service quality have a significant effect on customer satisfaction. The t test shows that product quality partially, price perception, and service quality partially have a significant effect on customer satisfaction. Keywords: product quality, price perception, service quality, customer satisfaction

Abstract

PT Saung Angklung Udjo adalah sebuah perusahaan keluarga di Bandung yang bergerak dalam bidang usaha produksi angklung, pertunjukan, pembuatan souvenir, pelatihan, danbanquet yang mencakup makanan dan minuman, persewaan tempat, dan penginapan. Perusahaan ini sedang dalam tahap transisi dari gaya manajemen keluarga menuju tahapmanajemen profesional yang dimulai pada tahun 2007. Perusahaan telah memiliki cita-cita sampai dengan tahun2017, tetapi belum memiliki strategi perusahaan. Tujuan dari makalahini adalah mengusulkan rumusan strategi perusahaan dengan menggunakan analisis SWOT yang melihat perusahaan dari sisi kekuatan (strengths) dan kelemahan (wealvtesses)internal penrsahaan dan sisi peluang (opportunities) dan ancaman (threats) dari lingkungan eksternal. Pengumpulan data primer dan sekunder dilakukan pada bulan Januari sampaidengan Mei 2009 dengan mempelajari dokumen-dokumen yang relevan yang tersedia di perusahaan serta melalui wawancara mendalam dengan Direktur Operasi dan stafnya.Dengan melakukan pembobotan pada EFAS (external factors analysis summary) dan IFAS (internal factors analysis summary) perusahaan, akhirnya dapat dipetakan strategiperusahaan yang sesuai bagi perusahaan yaitu strategi tumbuh secara stabil melalui vertical growth.Kata kunci: strategi perusahaan, analisis SWOT, PT Saung Angklung Udjo (SAU)

Abstract

ABSTRACTThe study investigates the effect of leadership style on employee’s work stress in ESS Transportation Management Service Telkom. The data were collected from 92 employees and obtained using a questionnaire consisted of 29 items with 6 point Likert scale. Desciptive analysis used to illustratedthe leadership style and work stress level inside the organization. Simple regression analysis was used to analyze the data and to measure the relation between independent and dependent variables. Employee perceives that the leadership style implemented in the organization was already appropriate and in line with their expectation regarding how their leader should engage the work relation. Meanwihle, the work stress level among employees were low. The regression analysis revealed the negative relation between leadership style and work stress level. When employeesperceived that their leader was act accordance to what their expectaion then the stress level will lessen. The coefficient of determination was 0.321. This mean the leadership style can only explain 32.1% of work stress, then the organization need to identify other factors which also affect the work stress. The comparison with the previous literatures also discussed.ABSTRAKPenelitian ini bertujuan menganalisis pengaruh gaya kepemimpinan terhadap tingkat stres kerja karyawan di Divisi ESS Transportation Management Service Telkom. Data penelitian diperoleh daripenyebaran kuesioner terhadap 92 orang responden. Kuesioner yang digunakan memiliki 29 pertanyaan dengan skala Likert 6 poin. Teknik analisis deskriptif digunakan untuk menjelaskan tingkat gaya kepemimpinan dan tingkat stres yang dipersepsikan oleh karyawan. Sedangkan untuk menganalisis pengaruh antara dua ariabel tersebut digunakan analisis regresi sederhana. Hasil penelitian mengungkapkan bahwa karyawan merasa gaya kepemimpinan yang diterapkan sudahsesuai dengan apa yang mereka harapkan. Mereka menilai bahwa pemimpin sudah menerapkan gaya yang tepat dalam setiap kondisi yang terkait pekerjaan. Tingkat stres karyawan di perusahaan ini relatif rendah. Selanjutnya, analisis regresi memperlihatkan hubungan signifikan negatif antara gaya kepemimpinan dan tingkat stres. Karyawan yang merasa sesuai dengan gaya kepemimpinan atasan akan memiliki tingkat stres yang lebih rendah. Koefisien determinasi dari hasil penelitian ini adalah 0.321. ini berarti bahwa gaya kepemimpinan hanya dapat menjelaskan tingkat stres sebesar 32.1% of work stress. Hasil ini menjadi masukan bagi perusahaan untuk mempelajari faktor-faktor lain penyebab stres. Pembahasan di dalam penelitian ini akan menyajikan pula hasil riset terdahulu dari berbagai latar belakang budaya

Abstract

Conflicts are inevitable in a work context. Therefore, understanding the causes of conflicts and how to solve them becomes significance for the effictiveness of an organization. Based on a case study at Duta Wacana Christian University (DWCU), this paper focuses on how to solve conflictsby increasing the work flexibility. It will start with a closer look at the theory of intergroup conJlicts and the causes, as well as the interttention technique. Then, moving to the context of an organization, it will describe the sources of conflicts and the common conflict managernent styles in DWCU. Finally, this paper will recommend the most appropriate strategtt in managing intergroup conflicts in DWCU based on the modification of the interttention technique and the embedded concepts of Brown and Harvqt's boundaryles sness and fl exibility and Zand's collateral organization.Keywords : Inter group conflict management, Organization development.
