Abstract

Tujuan penulisan ini yaitu untuk mengetahui prosedur daripada pembuatan duatu akta dengan penggunaan digital signature serta keotentikan akta notaris terkait relevansi daripada penggunaan digital signature. Metode penelitian yang digunakannya adalah metode penelitian hukum normatif dengan jenis pendekatan perundang-undangan dan juga konsep hukum. Hasil dari penelitian ini menunjukkan bahwa pembuatan akta notaris dengan secara elektronik itu hampir mirip prosesnya dengan proses pembuatannya akta secara konvensional. Setelah suatu draft aktanya siap, dilakukanlah proses pembacaan isi aktanya yang nantinya akan di tandatangani oleh para pihak. Para pihak yang berkepentingan itu lalu menyetujui isi-isi dari aktanya, maka selanjutnya notaris lalu memberitahu semua pihak-pihak untuk selanjutnya menandatangani akta dengan digital signature. Lalu notaris memverifikasikan semua tanda tanga tersebut. Sebagai alat bukti, maka dimana dalam surat atau aktanya yang terdapat digital signature tersebut, di Indonesia yang kekuatannya dapat bisa diuraikan jadi akta otentik atau akta dibawah tangan dan masuk ke dalam alat bukti surat. Akta otentik apabila digital signaturnya telah terverifikasi. Masuk ke dalam Akta dibawah tangan jika digital signaturenya belum terverifikasi.

Abstract

This study aims to find out about the legality of the inauguration of cyber-based notary deeds through the Zoom Conference media and the legal consequences of notarial deeds inaugurating the Zoom Conference media. The research method used is normative legal research methods that use a statutory approach and analysis of legal concepts based on primary and secondary legal materials. The study result show that according to Article 1868 of the Civil Code stipulates that the making of an authentic deeds is made is the presence of an authorized public official. Homeever, when referring to the explanation of Article 15 paragraph (3) of Law Number 2 of 2014 concerning the Position of Notary Public, there is no clarity regarding the explanation regarding electronic certification (cyber notary) whether tappers must remain physically present in front of a notary or may not ignore it virtually. Regarding the inauguration of deeds through the Zoom Conference media, its is necessary to have clearer regulations regarding the concept of cyber notary in the world of notary so that notaries can carry out their duties without violating laws and regulations. The concept of cyber notary, in the inauguration of the deed, it is felt that there is a need for regulations that clearly regulate how the terms or conditions in the inauguration of authentic deeds/notaries are carried out using the concept of cyber notary, one of which is the Zoom Cenference media. Studi ini bertujuan untuk mengetahui mengenai legalitas peresmian akta Notaris berbasis cyber notary melalui media Konferensi Zoom dan akibat hukum peresmian akta otaris dilakukan dengan media Konferensi Zoom. Metode penelitian yang digunakan yaitu dengan metode penelitian hukum normatif yang menggunakan pendekatan perundang-undangan serta analisis konsep hukum dengan bersumber pada bahan-bahan hukum primer maupun sekunder. Hasil studi menunjukan bahwa menurut Pasal 1868 KUHPerdata menentukan mengenai pembuatan akta otentik tersebut dibuat dihadapan pejabat umum yang berwenang. Tetapi apabila merujuk terhadap penjelasan Pasal 15 ayat (3) Undang-Undang Nomor 2 Tahun 2014 Tentang Jabatan Notaris tidak ada kejelasan mengenai penjelasan mengenai sertifikasi elektronik (cyber notary) apakah para penghadap harus tetap hadir secara fisik dihadapan notaris ataukah boleh tidak melaikan secara virtual. Terkait dengan peresmian akta melalui media Konferensi Zoom maka diperlukan adanya pengaturan lebih jelas mengenai konsep cyber notary dalam dunia kenotariatan agar notaris dapat menjalankan tugas jabatannya tanpa menyalahi undang-undang dan peraturan perundang-undangan. Konsep cyber notary ini dalam peresmian akta dirasa perlunya ada pengaturan yang mengatur dengan jelas bagaimana ketentuan atau syarat dalam peresmian akta autentik/notaris yang dilakukan dengan menggunakan konsep cyber notary salah satunya adalah media Konferensi Zoom.

Abstract

Abstract This article to analyze the imposition of land mortgages that do not yet have a certificate and solutions if the givere mortgage on land that does not have the certificate has died and there is an heir while the credit has not paid off. The method in this writing is using the method of normative juridical law. This study also uses an assessment of existing library materials such as rules and legislation, related literature. It can be concluded that uncertified land can be charged with Mortgage as long as the application for credit is carried out simultaneously with the registration of the transfer of land rights to the BPN and if the debtor dies before the repayment period ends, the debt on the credit can be transferred to the heirs of the debtor. Abstrak Artikel ini bertujuan menganalisis mengenai Pembebanan dari hak tanggungan yang belum memiliki sertifikat serta solusi jika pemberi dari Hak Tanggungan berupa tanah yang tidak memiliki sertifikat tersebut sudah meninggal dunia serta adanya pewaris sementara kredit belum lunas terbayarkan. Metode dalam penulisan ini yaitu menggunakan metode hukum yuridis normative. Penelitian ini juga menggunakan pengkajian bahan pustaka yang ada seperti aturan serta perundang-undangan, literatur yang mempunyai kaitan. Dapat disimpulkan bahwa tanah yang belum bersertifikat dapat dibebankan Hak Tanggungan sepanjang pengajuan kredit dilakukan secara bersamaan dengan pendaftaran peralihan ha katas tanah ke BPN dan Apabila debitur meninggal dunia sebelum jangka waktu pelunasan berakhir, maka utang atas kredit tersebut dapat dialihkan kepada ahli waris dari debitur.

Abstract

The purpose of this study is to examine the legal certainty of an individual company which does not use a notarial deed in its establishment. This study uses a descriptive legal research method. The law approach and legal concept analysis are the approaches used in this research. The collection of legal materials in this journal uses a literature study. The description technique is a method of analyzing legal materials used in this journal referring to the relevant laws and regulations, the collected literature related to the problems of this journal. The results of this study indicate that in the process of establishing a limited liability company there are quite significant differences, namely in Law Number 40 of 2007 with Law Number 11 of 2020 concerning Job Creation. The process of forming a PT generally must be made in the form of a notarial deed. It is different from the process of establishing a sole proprietorship which is regulated in Law Number 11 of 2020 concerning Job Creation, where the establishment process is carried out by completing a statement of establishment which does not have to be written down in the form of a notarial deed. The function of a notarial deed at the establishment of a PT is to protect third parties or the public against misuse of the establishment of a PT and provide a protection for the interests of other PT.

Abstract

The purpose of this paper is to find out the process of classifying and setting sanctions on the articles of association of companies whose business fields are not converted to the KBLI 2020. This study uses a normative legal research method with the problem of void norms with the type of approach to legislation and legal concepts. The results show that in the process of classifying the business fields of the company's articles of association must be in accordance with Article 3 of the articles of association guided by the 2020 KBLI, then can register for legalization of establishment on the AHU system and will automatically be integrated with the OSS system. For the company still using the 2017 KBLI, the company must convert the 2020 KBLI, by changing its articles of association and registering electronically through the AHU system. And, with regard to companies that do not convert their business fields, there are no sanctions arrangements against the company and it creates legal uncertainty, so that the company cannot manage business licenses, cannot cooperate with government and private agencies, and does not have legality in Indonesia and potential for criminal activity.

Abstract

The purpose of this paper is basically to know and understand in more detail the responsibilities of the shareholders of a limited liability company. This research uses a normative research method using a statue approach and conceptul aprroach. The result of the research is that the Company as a legal entity has assets that are separate from its shareholders. This separation of assets is also accompanied by limited liability. Shareholders of the company have limited liability the provisions regulated under Article 3 paragraph (2) of the Company Law in which shareholders with limited liability can change to unlimited if the shareholders commit bad faith which then causes the limited liability to change to unlimited so that the personal assets of the shareholders are not separated from the assets of the limited liability company.
