Abstract

The purpose of this research is to analyze the effect of merger and acquisition strategy for majority and minority shareholders at Indonesia capital market. This research is important since most of company ownership structure in Indonesia is categorized concentrated structure, where its create a conflict between majority and minority shareholders. The population of the research are companies that go public in the Indonesia capital market until the year of 2006. These samples of this research consists of 35 companies, divided two groups : high and low concentrated ownership structure, that are selected based on purposive sampling method. In processes testing the hypothesis, 2 indicators were used, i.e. market indicator and accounting indicator. Event study analysis was used for market indicator, whereas multiple regression analysis was used for accounting indicator. The results show a market reaction negative and statistically significant on merger and acquisition announcement. Effect of merger and acquisition strategy on performance is negative and statistically significant. This is indicated that tunneling by majority shareholder to minority shareholders through merger and acquisition strategy, and acquisition not value added for shareholder minority.

Abstract

Smoked fish SMEs have a strategic role in economic empowerment and poverty reduction in Kab. Kendal. However, the smoked fish SMEs have not developed well, one of the reasons is that the majority of them do not have the knowledge, understanding and skills of digital finance. They use digital only through watshap, face book, IG to market smoked fish products to various regions. In addition, the MSMEs of smoked fish in Bulak Village do not understand the risks of using digital, and do not understand the method of digitally recording financial transactions. Therefore, the purpose of this community service is to increase knowledge, understanding, and digital financial skills through digital financial literacy for smoked fish MSMEs in Bulak Village, Kec. Rowosari, Kab. Kendal. The implementation method consists of 3 stages, namely: a). Conducted an initial survey to the location with the head of Bulak Village, smoked fish MSMEs players and the Kab. Kendal to find out the potential and problems of smoked fish MSMEs in Bulak Village, Kec. Rowosari, Kab. Kendal. b). Provide digital financial literacy training for smoked fish MSMEs in Bulak Village, Rowosari District, Kab. Kendal. c). Assessing the performance of community service. The results show that digital financial literacy training can increase knowledge, understanding and skills in conducting digital transactions, digital financial risks, digital bookkeeping, and digital financial reports as a basis for decision making for smoked fish MSMEs in Bulak Village, Rowosari District, Kab. Kendal.

Abstract

This study aims to determine the effect of Non Performing Loans (NPL) and Loan to Deposit Ratio (LDR) on Profitability with the Capital Adequacy Ratio (CAR) as an intervening variable in state-owned banks in Indonesia. This type of research is quantitative, which focuses on managing numerical data. The population in this study uses state-owned banks listed on the Indonesia Stock Exchange (IDX). The sample used in this study is the annual report of state-owned banks listed on the Indonesia Stock Exchange (IDX) in 2010-2021, while the sampling method in this study used a purposive sampling method which then obtained 4 samples of state-owned banks namely BRI, BNI, BTN and Mandiri Bank. The findings of the data analysis show that Non Performing Loans (NPL) have a significant negative effect on Capital Adequacy Ratio (CAR) and Loan to Deposit Ratio (LDR) have a significant positive effect on Capital Adequacy Ratio (CAR). In addition, it can also be seen that Non-Performing Loans (NPL) have a significant negative effect on Profitability, Loan to Deposit Ratio (LDR) have no effect on Profitability and Capital Adequacy Ratio (CAR) has a significant positive effect on Profitability
