Abstract

Applying the principle of good faith in the choice of law is one of the most common problems of international business contract, particularly in foreign direct investment contracts. The implementation of the principle of good faith in the choice of law increasingly reduced by the emergence of some problems in the investment contract, which of course, the most aggrieved entities are domestic investors who also host country. The choice of law has an important role in the contract because it concerns the interests of each of the parties, and the principle of good faith as a priority principle of international contract law should be applied as the basis for determining the choice of law for the parties to a contract. This paper examines the principle of good faith in the choice of law to realize justice among the parties with different laws, especially on private and public investment contracts between foreign investors and domestic investors in Indonesia, in the process of formation, implementation, or post-contract. This paper is legal research that is normative, meaning that this research is based on the prevailing laws and regulations in Indonesia. Then, the approach used is statute approach and conceptual approach. So it is expected that between the rules and the concept of existing topics will be aligned. Keywords: Choice of Law, Foreign Direct Investment Contracts, Principles of Good Faith.

Abstract

One alternative to accelerate infrastructure development in Indonesia is by involving the private sectors in the financing and development. In principle, Public Private Partnerships (PPP) can be classified into two, namely: a partnership project which idea came from the initiation of the government (solicited) and partnership project which idea came from the initiation of the business entities (unsolicited). To facilitate the implementation of the Public Private Partnership (PPP), the financing instruments that exist currently may be used to support the implementation of the Public Private Partnership (PPP). The importance of involving a third party other than investor and the government is related to the fulfillment of capital requirements and risks sharing in the event of loss. Although the rules clearly have been enacted, the infrastructure projects in Public Private Partnership (PPP) seem less attractive to investors. One of the causes is that the capital required by investors is too great with very high risk when investment in infrastructure is slow yielding. It is important to propose the scheme of sustainable financing which may allocate the PPPs’ risks proportionally.Until now, the government is too fixated with large cooperation projects with the private sectors, while the scheme offered is a Build-Operation-Transfer (BOT) scheme. This scheme is sometimes burden the investors, because the greatest risk is in the hands of investors. Regarding the financing of the Public Private Partnership (PPP), conventional financing such as a bank guarantee or sharia financing (‘kafalah’) can be carried out. Two such financing can be used in the Public Private Partnership (PPP), so it will increase the interest of investors to build infrastructure using Public Private Partnership (PPP). It is because such financing can overcome the difficulties of gaining large capital and also reduce the burden of risk borne by investors.

Abstract

Setiap warga negara Indonesia memiliki hak yang sama dalam hal mendapatkan kesehatan, pedidikan dan pekerjaan yang layak. Hal tersebut merupakan amanah dari Undang-Undang Dasar Republik Indonesia yang harus diwujudkan oleh Pemerintah. Untuk itu perlahan namun pasti, Pemerintah telah mensosialisasikan beberapa program yang pro rakyat, salah satunya adalah dengan menghadirkan program Badan Penyelenggara Jaminan Sosial (BPJS). BPJS memiliki 2 program besar yaitu dalam hal kesehatan dan ketenagakerjaan. Untuk pendampingan ini lebih di fokuskan kepada BPJS Ketenagakerjaan. Hal ini karena di beberapa daerah masih banyak dijumpai ketidak pahaman atau bahkan tidak peduli terhadap program BPJS Ketenagakerjaan ini, terutama bagi pengusaha atau si pemberi kerja. Jika hal ini terus terjadi maka hak-hak para pekerja akan terabaikan dan tentu akan merugikan para pekerja itu sendiri. Sehingga dengan adanya pendampingan ini, diharapkan para pengusaha nantinya akan lebih peduli terhadap kesejahteraan dan keselamatan pekerja. Pada pendampingan ini pula, nantinya akan di berikan tutorial terkait bagaimana cara mendaftarkan para pekerja ke BPJS Ketenagakerjaan. Selain itu akan di beri penjelasan pula terkait hak dan kewajiban sebagai anggota dari BPJS Ketenagakerjaan, serta tidak lupa cara mengajukan klaim apabila ada pekerja yang mengalami kecelakaan saat menjalankan pekerjaannya. Pendampingan ini dilakukan di Kediri, dengan sasaran utamanya adalah pekerja tradisonal.

Abstract

AbstractOne of the Government’s efforts to develop the tourism sector is to line up in villages. Some villages that have natural potential have been developed into tourist villages. The development of tourist villages is not only in nature which is the attraction but also can be a means of education that must be optimized. Gerbo Village is one of the villages in the Pasuruan area that seeks to develop its educational tourism. An understanding of the legal aspects, including permits, business contracts, and so on, needs to be given to village officials, tourism awareness groups, and the local community. This goal is intended as a preventive effort to prevent legal problems that may arise in the future.Keywords: Tourism; Villages; Permits; Business Contract.AbstrakSalah satu upaya Pemerintah untuk pengembangan sektor kepariwisataan adalah berlini pada desa. Beberapa desa-desa yang mempunyai potensi alam di kembangkan menjadi desa wisata. Pengembangan desa wisata tidak hanya pada alam yang menjadi daya tarinya, namun juga bisa menjadi sarana edukasi yang harus dioptimalkan, Hal inilah yang dilakukan oleh Desa Gerbo, salah satu desa di kawasan Pasuruan yang berupaya untuk mengembangkan wisata edukasi yang dimiliki. Pemahaman mengenai aspek hukum yang meliputi perizinan, kontrak bisnis, dan sebagainya perlu untuk diberikan bagi perangkat desa, kelompok sadar wisata dan juga masyarakat setempat. Tujuan tersebut diperuntukkan sebagai upaya preventif untuk mencegah problematika-problematika hukum yang kemungkinan timbul di kemudian hari.Kata Kunci: Kepariwisataan; Desa; Perizinan; Kontrak Bisnis.

Abstract

Recent development to claim damages on the basis of either wanprestatie or onrechtmatige daad would not provide saticfactory grounds to the question of justice. There will be a situation in which that no one shall be unjustly enriched at the expense of another which all outside the scope of contract and tort. This has led to the existence of an independent legal doctrine known as unjust enrichment. It is among the most debated private law subjects today in asking for justice. Corrective justice brings to the remedial relation between the plaintiff and the defendant; it is solely concerned with the norm of justice that provides reasons to restitution. Corrective justice properly evaluates the structure of injustness to the both sides, the plaintiff and the defendant. It gives effect to restitutionary proprietary interests rather than compensatiton. This article elaborates the law of unjust enrichment as ground for restitution in conjunction with the corrective justice. Furthermore, this article focuses on the theoritical foundation of corrective justice to meet the unjustified enrichment criteria.
